Do You Need to File BIR Form 1905 When You're Newly Designated a Top Withholding Agent?

No — becoming a BIR Top Withholding Agent (TWA) does not require filing BIR Form 1905 or any other registration-update application. TWA status is a classification the Bureau of Internal Revenue assigns on its own initiative, based on a taxpayer’s gross sales, purchases, or expenses crossing a threshold, and it takes effect once the BIR publishes the taxpayer on its official list — not once the taxpayer files anything.

This is a common point of confusion because BIR Form 1905 is the BIR’s general-purpose “update my registration” form, and it’s natural to assume a new tax obligation like TWA status would run through it. It doesn’t. See Who Is a BIR Top Withholding Agent? for the full threshold and rate rules, and Removed From the BIR Top Withholding Agent List? What Actually Changes for how the same BIR-initiated mechanism works in reverse.

Why doesn’t TWA designation go through BIR Form 1905? #

BIR Form 1905 exists to let a taxpayer initiate a change to its own registration information — but Top Withholding Agent status is not a change the taxpayer initiates; it’s a classification the BIR assigns based on its own monitoring of a taxpayer’s financial data. Revenue Memorandum Order (RMO) No. 26-2018 governs exactly this mechanism — prescribing the guidelines for the BIR to monitor, identify, include, and delete Top Withholding Agents on its own published lists, independent of any application from the taxpayer.

A secondary summary of how this list structure actually works, describing the framework under RR No. 11-2018 (the regulation that first created the TWA category before RR No. 7-2019 simplified the threshold test), puts it this way:

“the list of withholding agents is further classified into: (1) list of existing withholding agents; (2) list of additional withholding agents; and (3) list of withholding agents for deletion from existing list.”

— Grant Thornton Philippines, summarizing the list structure under RR No. 11-2018

Every one of those three sub-lists — existing, additional, and deletion — is something the BIR itself compiles and publishes. None of them is a list a taxpayer requests to be added to or removed from through its own filing. That is the structural reason BIR Form 1905 never enters the picture: there is no taxpayer-initiated application step in the process at all.

What actually triggers and ends TWA status? #

TWA status under RR No. 7-2019 is a straightforward threshold test applied to data the BIR already has, followed by publication — the taxpayer’s only real decision point is what it does operationally once it’s designated, not how it becomes designated.

StepWho actsWhat happens
Threshold crossedTaxpayer’s own financial activity (passively)Gross sales/receipts, gross purchases, or claimed deductible expenses reach ₱12,000,000 or more in the preceding year
IdentificationBIRBIR identifies the taxpayer as meeting the RR No. 7-2019 threshold, per the monitoring process under RMO No. 26-2018
PublicationBIRTaxpayer is published on the official list of Top Withholding Agents (via notice and/or periodic RMC)
Obligation beginsAutomaticWithholding duty starts the first day of the month following the month of publication — not the date of any taxpayer filing
Delisting (if it happens later)BIRSame mechanism in reverse: BIR publishes removal once the taxpayer no longer meets the threshold

At no point in that sequence does the taxpayer file a form to request inclusion, confirm inclusion, or accept the designation. The BIR’s publication is what matters, both for when the obligation starts and, later, for when it ends.

What should a newly designated TWA do instead of filing Form 1905? #

Nothing about TWA status itself needs a 1905 filing — but a newly designated TWA still has real operational housekeeping to do before its first affected purchase. The checklist is about readiness, not registration:

  • Confirm the BIR Form 2303 (Certificate of Registration) already correctly lists the business’s registered activities — if it doesn’t, that kind of registration mismatch is what BIR Form 1905 is actually for, separate from the TWA designation itself.
  • Set up BIR Form 2307 issuance for every local supplier of goods (1%) or services (2%) from the effective date, using ATC WC158/WI158 (goods) or WC160/WI160 (services).
  • Prepare to include every affected payee on the Quarterly Alphalist of Payees (QAP) starting the first quarter the TWA designation is effective.
  • Remit withheld amounts monthly on BIR Form 0619-E and quarterly on BIR Form 1601-EQ, in line with the designation’s effective date — never retroactively to purchases made before that date.

Worked example: a packaging distributor’s TWA notice #

Isabela Packaging Distributors, Inc. receives a BIR notice in September that it has been included in the updated Top Withholding Agent list, effective October 1, based on exceeding ₱12,000,000 in gross purchases the prior year. The owner’s first instinct is to ask the company’s accountant whether they need to file BIR Form 1905 to “register” as a TWA.

The accountant confirms there is nothing to file for the designation itself — it is already effective by virtue of the BIR’s publication, not contingent on any application. What the accountant does check is whether Isabela’s BIR Form 2303 still lists the company’s current registered activities accurately (it does, so no 1905 is needed there either), and then sets up BIR Form 2307 issuance and QAP reporting for every local supplier paid from October 1 onward. No registration-update form changes hands at any point in the process — only the operational systems needed to comply with an obligation the BIR assigned unilaterally.

Summary #

Top Withholding Agent status is not something a taxpayer applies for through BIR Form 1905 — it is a classification the BIR assigns and publishes on its own initiative under RR No. 7-2019 and the monitoring framework in RMO No. 26-2018, and it takes effect by publication, not by any filing. BIR Form 1905 remains useful for genuinely taxpayer-initiated registration changes, but a TWA notice calls for operational readiness — certificate issuance, QAP reporting, remittance — not a registration-update application.
